Agreement and incorporated terms
This Publisher and Selling Agreement (the “Publisher Agreement”) applies whenever you draft, submit, publish, sell, license, or deliver a skill, prompt, workflow, service, file, repository, or related material through Kairaxis (each a “Listing”). It is between you and the Kairaxis entity providing the marketplace.
The Terms of Service, Privacy Policy, listing details, checkout terms, fee schedules, and policies presented in Publisher Studio are incorporated into this Publisher Agreement. If they conflict, transaction-specific checkout terms control that transaction, then this Publisher Agreement controls publisher activity.
Listing standards and review
Listings must be accurate, complete, current, and understandable. Titles, previews, examples, screenshots, benchmarks, compatibility claims, pricing, licences, delivery terms, support promises, and limitations must match what buyers actually receive.
Kairaxis may test, scan, classify, edit formatting, request changes, reject, unpublish, restrict, or remove a Listing. Review is a marketplace control, not a warranty, endorsement, security audit, or assumption of your responsibility.
- Disclose material dependencies, permissions, data access, model or platform requirements, usage limits, subscriptions, and known risks.
- Clearly identify material AI-generated content and third-party components where disclosure is required for rights, safety, or buyer understanding.
- Do not manipulate rankings, reviews, saves, views, conversions, previews, pricing, scarcity, or publisher identity.
- Do not include malware, credential collection, hidden telemetry, destructive instructions, evasion techniques, or undisclosed remote access.
Ownership, licences, and publicity
You retain ownership of your Listing content. You grant Kairaxis a worldwide, non-exclusive, royalty-free, sublicensable licence to host, reproduce, process, scan, test, format, translate, create technical previews of, display, promote, distribute, cache, and otherwise use the Listing as reasonably necessary to operate, secure, improve, and market the marketplace. This licence continues for prior transactions, records, backups, legal compliance, dispute handling, and marketplace promotion created while the Listing was active.
You grant each buyer the licence stated in the Listing and checkout record. If no separate licence is shown, the buyer receives a non-exclusive, non-transferable right to use the delivered item for its internal personal or business purposes, but not to resell, sublicense, publish, or redistribute it as a competing standalone product.
Your promises to Kairaxis
Each time you save or submit a Listing, you represent and warrant that the following statements are true and will remain true while the Listing is available or supported.
- You own the Listing or have all permissions, licences, consents, and authority needed to list, license, market, and deliver it under these terms.
- The Listing, its marketing, and its use as described do not infringe intellectual property, privacy, publicity, confidentiality, contract, employment, open-source, database, or other rights.
- The Listing and your conduct comply with applicable consumer, advertising, export, sanctions, tax, product-safety, accessibility, privacy, AI, and marketplace laws.
- You have not submitted secrets, personal data, client materials, or restricted information without lawful authority and appropriate notices and safeguards.
- Claims, testimonials, comparisons, metrics, and demonstrations are truthful, substantiated, and not misleading.
- The Listing will be delivered as described and you will provide promised updates, support, refunds, and remedies.
Pricing, fees, payouts, and reserves
You set prices within marketplace rules. Kairaxis may set minimums, maximums, currencies, promotions, taxes, and supported payment methods. Applicable platform, payment-processing, currency-conversion, refund, tax, and other fees will be disclosed in Publisher Studio or transaction records before they apply.
Payout availability is conditional on successful payment, identity and tax verification, expiry of applicable risk windows, and compliance. Kairaxis may delay, offset, reverse, or hold payouts when reasonably needed for refunds, disputes, chargebacks, suspected fraud, legal process, sanctions, negative balances, security incidents, or anticipated liabilities. Reserves will be proportionate to reasonably assessed risk where law requires.
- You authorise Kairaxis and payment providers to collect transaction amounts, deduct disclosed fees and obligations, issue refunds, and recover negative balances.
- You are responsible for taxes on your income and business, except taxes Kairaxis is legally required to collect, withhold, or remit.
- No sale or payout is guaranteed. Kairaxis may cancel a transaction that cannot lawfully or safely be completed.
Affiliate promotion
You may opt an eligible paid Listing into the Kairaxis affiliate programme and set an offered commission within marketplace limits. By enabling an offer, you authorise Kairaxis to make the Listing available to affiliates, track attributable visits and purchases, deduct valid commissions from transaction proceeds, and apply the Affiliate Agreement.
Commission rates and attribution windows apply prospectively as displayed. Kairaxis may reject or reverse attribution affected by refunds, chargebacks, self-referral, fraud, manipulation, technical duplication, ineligible traffic, or legal and payment-network requirements. You must not direct, coordinate, or reward affiliates to make unlawful, misleading, undisclosed, or unsubstantiated claims.
Delivery, support, refunds, and disputes
You must deliver on time, securely, and in the promised format; maintain functional links and dependencies; respond reasonably to buyer and Kairaxis requests; and preserve records needed to prove delivery and licence scope. You remain responsible for subcontractors and external tools you use.
Kairaxis may decide buyer-facing refunds or credits under checkout terms, mandatory law, or marketplace policy and may recover the corresponding amount and non-refundable processing costs from your balance. You must cooperate with payment disputes, content reports, recalls, and chargebacks and provide requested evidence by the stated deadline.
Data protection and security
Do not collect or receive buyer personal data unless the Listing clearly requires it and you have a lawful basis, appropriate notice, data-minimisation controls, security, retention limits, and any required processing agreement. You are independently responsible for personal data you control.
If you enable a Kairaxis pre-launch waitlist, you may use subscriber emails only for relevant launch and availability updates for that Listing. You must protect the list, avoid selling or repurposing it, include a working unsubscribe method in every non-essential message, promptly honour deletion and opt-out requests, and comply with applicable communications and privacy law.
You may enter only advertising-platform identifiers that you own or are authorised to use. You may not submit script code, use tracking for unlawful profiling or sensitive-data collection, attempt advanced matching with waitlist emails, or combine Kairaxis events with personal data in a way that defeats visitor choice. Publisher Meta, Google Ads, and TikTok tags run only after the visitor’s separate permission, and you remain responsible for your notices, platform terms, advertising law, retention, and downstream processing.
Notify security@kairaxis.com without undue delay of a vulnerability, compromise, unauthorised access, malicious Listing behaviour, or personal-data incident that affects Kairaxis, subscribers, or buyers. You must investigate, contain, remediate, preserve evidence, and reasonably cooperate with notifications or corrective action.
Metrics, ranking, and feedback
Views, saves, conversions, rankings, recommendations, labels, reviews, and analytics may be delayed, estimated, filtered for fraud, corrected, removed, or discontinued. They are provided for operational insight and do not guarantee accuracy, placement, reach, sales, revenue, or payout. Kairaxis controls marketplace presentation and discovery systems.
Removal, suspension, and cooperation
Kairaxis may reject or remove Listings, pause sales or payouts, require remediation or recall, restrict features, preserve records, or suspend or terminate a publisher account when reasonably necessary to protect users, comply with law or payment-network rules, investigate misconduct, enforce agreements, or reduce legal, financial, security, or reputational risk.
You must cooperate with reasonable audits and investigations and promptly provide source, licence, identity, delivery, security, and transaction evidence. Failure to respond may lead to removal, refund, payout hold, or termination. Kairaxis may disclose information when required by law or reasonably necessary to prevent harm or enforce rights.
Indemnity and risk allocation
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Kairaxis and its affiliates, officers, directors, employees, contractors, payment partners, and licensors from claims, losses, liabilities, damages, judgments, recalls, refunds, chargebacks, penalties, taxes, and reasonable legal and investigation costs arising from your Listings, delivery, support, data practices, taxes, breach of this Publisher Agreement, violation of law, or infringement of another person’s rights.
The disclaimers and liability limits in the Terms of Service apply to this Publisher Agreement. Kairaxis may control the defence and settlement of an indemnified claim. You will cooperate and may not settle a claim that admits fault by or imposes an obligation on Kairaxis without written consent.
Term, survival, and changes
This Publisher Agreement starts when you first accept it or submit a Listing and continues while you have Listings, transactions, support duties, balances, or unresolved obligations. You may stop submitting and remove eligible Listings, but removal does not affect existing licences, transactions, buyer access, records, liabilities, or provisions that by nature survive.
We may update this Publisher Agreement prospectively for legal, risk, product, or commercial changes. We will identify the effective version and give notice of material changes through Publisher Studio, email, or the Service where required. You must accept the then-current version before a later submission when prompted.
